ADAPT2 SUPPLEMENT

This Adapt2 Supplement ("Supplement") applies solely to Adapt2 Products and Adapt2 Services identified in an applicable Order Form. Except as expressly modified by this Supplement, the EE End User License Terms and Conditions ("EE Terms") govern Customer's purchase and use of Adapt2 Products and Adapt2 Services. Capitalized terms not defined herein have the meanings assigned in the EE Terms.

1. Scope

Adapt2 Products consist of the hosted Adapt2 software platform, associated modules, Updates, Documentation, APIs (if purchased), and related Products identified in an applicable Order Form. Adapt2 Services consist of implementation, configuration, migration, training, support, and other services identified in an applicable Order Form or Statement of Work.

2. Additional License Rights

2.1 Subject to the Agreement, EE grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable Term to access and use the Adapt2 Products solely for Customer's internal business purposes.

2.2 Access is limited to the number of Named Users specified in the applicable Order Form. Each Named User must use unique credentials.

2.3 Unless otherwise specified in an Order Form, Customer's production use is limited to a single production environment.

2.4 Customer shall not use the Adapt2 Products for the benefit of third parties or to develop or commercialize a competing product or service.

3. Hosting

3.1 Adapt2 Products are delivered as hosted services using cloud infrastructure selected and managed by EE.

3.2 EE may change cloud infrastructure providers from time to time provided such change does not materially reduce the overall functionality, security, or availability of the Adapt2 Products.

3.3 Security, Customer Data, privacy, and service availability are governed by the EE Terms and any applicable Service Level Agreement.

4. Business Continuity

4.1 If a cloud infrastructure outage materially affects the Adapt2 Products for an extended period, EE will use commercially reasonable efforts to restore service or implement a commercially reasonable alternative continuity solution.

4.2 Where Customer requests migration to an alternative hosting environment or deployment model outside the scope of the Agreement, the parties will mutually agree on the applicable Professional Services and fees.

5. Product-Specific Restrictions

5.1 Customer shall not publish benchmark tests or competitive evaluations of the Adapt2 Products without EE's prior written consent.

5.2 Customer shall not circumvent technical limitations or licensing controls applicable to the Adapt2 Products.

5.3 APIs or integration interfaces may be used only in accordance with EE Documentation and applicable technical requirements.
