DATASET SERVICES SUPPLEMENT

This Dataset Services Supplement ("Supplement") applies solely to Dataset Services identified in an applicable Order Form. Except as expressly modified by this Supplement, the EE End User License Terms and Conditions ("EE Terms") govern Customer's purchase and use of Dataset Services.

1. Scope

Dataset Services consist of datasets, market data, assumptions, reference data, models, content, Updates, and related Products identified in an applicable Order Form.

2. Dataset License

2.1 Dataset Services are licensed, not sold, and remain the proprietary Products of EE and its licensors.

2.2 Customer may use Dataset Services solely with the applicable Products and for Customer's internal business purposes.

2.3 Customer shall not use Dataset Services as a stand-alone commercial dataset unless expressly authorized by EE.

3. Permitted and Prohibited Uses

3.1 Customer shall not extract, scrape, harvest, aggregate, reproduce, redistribute, sublicense, publish, commercialize, or otherwise make available any material portion of Dataset Services except as expressly permitted herein.

3.2 Customer shall not use Dataset Services to develop, validate, benchmark, train, improve, or commercialize a competing dataset, software, service, model, or artificial intelligence system.

3.3 Customer may include limited portions of Dataset Services in reports where such use is incidental, limited to the minimum reasonably necessary, and accompanied by attribution to Energy Exemplar.

3.4 Customer may disclose limited portions of Dataset Services in regulatory, administrative, or judicial proceedings where reasonably necessary, provided no material portion is disclosed except where legally required.

4. End of License

Upon expiration or termination of Customer's rights to Dataset Services, Customer shall cease all use of Dataset Services, delete all copies within its control (except as permitted under the EE Terms), and, upon EE's reasonable request, certify such deletion.
