INSIGHTS SUPPLEMENT

This Insights Services Supplement ("Supplement") applies solely to Insights Services identified in an applicable Order Form. Except as expressly modified by this Supplement, the EE End User License Terms and Conditions ("EE Terms") govern Customer's purchase and use of the Insights Services. Capitalized terms not defined herein have the meanings assigned in the EE Terms.

1. Scope

Insights Services consist of EE's hosted market intelligence, analytics, forecasts, dashboards, visualizations, reports, Information, Updates, APIs (if purchased), and related Products identified in an applicable Order Form.

2. Additional License Rights

2.1 Subject to the Agreement, EE grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable Term to access and use the Insights Services solely for Customer's internal business purposes.

2.2 Access is limited to the number of Named Users specified in the applicable Order Form. Each Named User must use individual credentials.

2.3 Except as expressly authorized in an Order Form, Customer shall not provide third parties with access to the Insights Services.

3. Information and Data

3.1 Information made available through the Insights Services is licensed, not sold, and remains the property of EE and its licensors.

3.2 To the extent the Insights Services include Dataset Services, Customer's use of those datasets is also governed by the Dataset Services Supplement.

3.3 Customer may include limited portions of Information in internal memoranda or external reports where such use is incidental to the report's primary purpose, limited to the minimum reasonably necessary, and accompanied by attribution to Energy Exemplar where reasonably practicable.

3.4 Customer acknowledges that Information may be obtained from third-party providers and may be subject to additional use restrictions communicated by EE.

4. Product-Specific Restrictions

4.1 Customer shall not redistribute, resell, publish, or commercialize the Insights Services or any material portion of the Information except as expressly permitted under the Agreement.

4.2 Customer shall not scrape, harvest, systematically extract, or aggregate Information to create a competing dataset, analytics platform, benchmark, or commercial offering.

4.3 Customer shall not use the Insights Services or Information to train or improve a competing artificial intelligence or machine learning model without EE's prior written consent.

4.4 Customer shall not publish benchmark tests, performance comparisons, or competitive evaluations of the Insights Services without EE's prior written consent.

4.5 APIs or integration interfaces may be used only in accordance with EE Documentation and applicable technical requirements.

5. Third-Party Information Providers

5.1 Certain Information incorporated into the Insights Services may be licensed to EE by third-party providers.

5.2 If a third-party provider withdraws, restricts, or materially changes EE's rights to distribute such Information, EE may modify the affected Insights Services or discontinue the affected Information.

5.3 If such change materially reduces the subscribed Insights Services and EE cannot reasonably provide a substantially equivalent replacement, EE may terminate the affected portion of the applicable Order Form and refund any prepaid fees attributable to the unused portion of the discontinued service.
